Hong Kong company limited by guarantee is mainly established for the purposes of enhancement of education / training (like association or society), religion, relief of poverty, environmental protection, trust and foundation, and betterment for the community. Most companies fallen into this type is not for profit. Please note that it may be a non-approved charitable institution, a group of members may form this type of company for pursuing their interests for or not for profit.

It may be formed as private company or non-private company. For private company, the number of members within the company cannot be exceeded 50. It enjoys some advantages like private company limited by shares. Recently, the approval process as approved charitable institution may request that the company should be in form of a non-private company.

The basic and minimum structure of a Hong Kong company limited by guarantee is having at least 2 founder members, 2 directors and 1 company secretary. The address of the registered office and secretary must be in Hong Kong. The company is obliged to file Annual Return annually with the audited accounts.

Please note that a non-private company limited by guarantee is not eligible for the process of deregistration (cheapest dissolution approach for Hong Kong private limited company; subject to certain criteria), just in case of company dissolution. It requires the process of company liquidation.
